So, you are planning to migrate your EBS 12.1 to ODA and then do the EBS upgrade there.
Migrate your DB to ODA_BASE nodes, and migrate your Apps Tier to Guest VMs..
that 's ok.

As for your question regarding option 2: you don't have to migrate any data..  You will just install a fresh EBS 12.2 instance, your functional teams will do the setup, and your functional+developer teams will migrate the data from EBS 12.1 to 12.2 using APIs and etc.. (the customization will also be migrated between these 12.1 and 12.2 instances).. Note that, generally, not all the data is migrated from the old release to new release... So in this option, the old version EBS will still be running (at least for a while) for archiving and reporting purposes. This is a decision to be made and it is not decided by DBAs. . The project owner and the business side should decide on this.
